These Terms and Conditions (“Terms”) govern your access to and use of the Scripta website and the services provided by Scripta (“we”, “our”, or “us”). By accessing our website, placing an order, uploading content, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our website or services.
1. Services
Scripta provides professional design and content-related services on a productised basis. Services may include, but are not limited to, document design, presentation design, marketing and promotional materials, corporate documentation, and related professional outputs, as described on our website at the time of purchase. All services are offered within a clearly defined scope. The scope, deliverables, and inclusions for each service are outlined on the relevant product page. Any request for work outside the defined scope, including additional content, formats, pages, revisions, or changes in direction, may be treated as additional services and may incur additional fees. We reserve the right to update, modify, or discontinue services at any time without notice, provided such changes do not affect confirmed orders.
2. Orders and Acceptance
An order is considered accepted only once payment has been successfully processed and an order confirmation has been issued. Submission of an order does not guarantee acceptance. We reserve the right to decline, suspend, or cancel an order at our discretion, including where submitted information is incomplete, inaccurate, misleading, unlawful, or unsuitable for the requested service, or where we reasonably believe the service cannot be delivered as requested. You are responsible for reviewing all order details before submission and ensuring that instructions, selections, and uploaded materials accurately reflect your requirements.
3. Client Content and Materials
You represent and warrant that you have the legal right to use, upload, and provide all content, documents, images, branding assets, logos, fonts, text, and other materials submitted to Scripta. Ownership of all client-provided materials remains with you. By submitting content, you grant Scripta a limited, non-exclusive, royalty-free licence to use, reproduce, adapt, and modify the content solely for the purpose of delivering the services you have ordered. We do not verify the accuracy, completeness, legality, or suitability of client-provided content and are not responsible for errors, omissions, or claims arising from such content.
4. Revisions and Changes
Unless otherwise stated on the product page, services include a reasonable number of revisions limited to refining the original brief and scope. Revisions do not include changes that materially alter direction, structure, content volume, or purpose. Requests that constitute new concepts, additional content, new formats, or changes beyond the agreed scope may be treated as additional work and may incur additional fees. All revision requests must be submitted within the timeframe specified for the service. Delays in providing feedback, approvals, or required information may impact delivery timelines and may require rescheduling.
5. Delivery and Turnaround
Delivery timeframes provided on the website or during order confirmation are estimates only and are not guaranteed. Actual delivery times may vary based on complexity, workload, and the quality and completeness of information provided. We are not responsible for delays caused by incomplete briefs, late submissions, revisions requested outside the original scope, or delayed client feedback. Where delays occur for reasons outside our control, delivery timelines may be extended without liability.
6. Fees and Payment
All fees are displayed on the website in Australian dollars unless otherwise stated. Payment in full is required at the time of order unless otherwise agreed in writing. Prices may be updated from time to time; however, confirmed orders will be charged at the price displayed at the time of purchase. Failure to complete payment may result in suspension, delay, or cancellation of services.
You are responsible for all applicable taxes, duties, or charges associated with your order, unless otherwise stated.
7. Refunds and Cancellations
Due to the customised nature of our services, refunds are generally not provided once work has commenced, except where required by law under the Australian Consumer Law. If an order is cancelled before work has commenced, a refund may be issued at our discretion, less any administrative, processing, or transaction fees incurred. We do not provide refunds for change of mind, dissatisfaction with subjective design preferences, or failure to provide required content or feedback within agreed timeframes.
8. Printing Services
Where printing services are offered as an optional add-on, Scripta is responsible for preparing files suitable for print based on the specifications selected and the information provided by you. Variations in colour, finish, trimming, or appearance may occur due to printing processes, materials, or equipment. Such variations are considered normal and do not constitute a defect. We are not responsible for errors arising from incorrect content, specifications, approvals, or files supplied or approved by you.
9. Intellectual Property
Unless otherwise agreed in writing, all final deliverables are licensed to you for use upon full payment. This licence permits use for the intended purpose but does not transfer ownership of underlying templates, processes, systems, or working files. Scripta retains all intellectual property rights in its methodologies, templates, design systems, and internal processes. We reserve the right to reuse non-confidential design elements and structural approaches across projects. We may display completed work in portfolios or promotional materials unless you notify us in writing that the work is confidential.
10. Confidentiality
We treat all client information and materials as confidential and use them solely for the purpose of delivering services. Confidential information will not be disclosed to third parties except where necessary to perform the services or where disclosure is required by law. You agree to keep confidential any proprietary or non-public information disclosed by Scripta in connection with the services.
11. Limitation of Liability
To the maximum extent permitted by law, Scripta excludes all liability for indirect, incidental, special, or consequential loss, including loss of profits, revenue, data, or business opportunity. Our total liability for any claim arising out of or in connection with the services is limited to the total amount paid by you for the relevant service. Nothing in these Terms excludes rights or remedies that cannot be excluded under Australian Consumer Law.
12. Compliance with Law
These Terms are governed by the laws of Australia. You agree to comply with all applicable laws and regulations in connection with your use of the website and services. Any disputes arising under these Terms are subject to the exclusive jurisdiction of the courts of Australia.
13. Amendments
We may amend these Terms from time to time to reflect changes in our services, business practices, or legal obligations. Updated Terms will be published on our website and take effect from the date of publication.
